The Agreement Is Expiring. Should You Simply Renew It?

Not always.

An agreement nearing expiry is a review point not merely a date on the calendar.

Rent may have changed.

The deposit may have changed.

The tenant's circumstances may have changed.

The property's use may have changed.

Even the commercial understanding between the parties may have changed.

Yet one of the most common practices is:

“Everything is the same. Just make another 11-month agreement.”

That is precisely when you should stop and review.

A professional renewal begins with one question:

“What has changed since the last agreement?”

 

1. What Does “Renewal” Actually Mean?

 

In everyday language, renewal simply means continuing the rental arrangement.

Legally, however, the effect of renewal, extension or continuation depends upon the wording of the agreement, conduct of the parties and applicable law.

For agreements covered by Section 55 of the Maharashtra Rent Control Act, 1999, an agreement for leave and licence or letting of premises must be in writing and registered. The provision also places the responsibility for registration on the landlord. (upload.indiacode.nic.in)

Therefore:

Do not assume that an expired agreement automatically continues on the same terms.

The current arrangement should be reviewed and appropriately documented.

 

2. The “Renewal Audit” — 10 Questions Before You Sign Again

 

Before preparing the next agreement, ask:

• Has the rent changed?

• Has the security deposit changed?

• Are the same parties involved?

• Are the same occupants living in the property?

• Is the property being used for the same purpose?

• Has the notice period changed?

• Has the lock-in changed?

• Have maintenance responsibilities changed?

• Have any new charges or conditions been agreed?

• Does the renewed arrangement require fresh stamp-duty/registration compliance?

If any answer is “Yes”—

Don't simply copy the old agreement.

 

3. Rent Revision: The Most Common Renewal Change

Suppose the original agreement states:

Rent: ₹30,000/month

At renewal:

New Rent: ₹33,000/month

The revised rent should be clearly incorporated into the appropriate documentation.

The same applies to:

• Rent escalation

• Additional maintenance

• Parking charges

• Deposit revision

• Other agreed payments

Your agreement should record the actual contractual terms.

 

4. Security Deposit: Reconfirm It

At renewal, don't simply write:

“Deposit as per previous agreement.”

Instead, clearly establish the current position.

Existing deposit: ₹________

Additional deposit: ₹________

Total deposit: ₹________

Also review the agreed terms concerning deductions, adjustment and settlement.

One unclear sentence about the deposit can become a major disagreement at the end.

 

5. Lock-In and Notice Period: Read Them Again

These two clauses deserve particular attention.

Lock-in Period

The contractual period and consequences agreed for early exit.

Notice Period

The advance notice required for termination under the agreement.

They are not automatically the same thing.

A renewal is the right time to ask:

“Do these terms still work for both parties?”

 

6. Stamp Duty on Renewal

A renewal should not automatically be assumed to have the same stamp-duty amount as the previous agreement.

For an applicable leave-and-license agreement not exceeding 60 months, Article 36A of the Maharashtra Stamp Act provides a formula based on specified components including licence fees/rent, non-refundable deposit/premium and the applicable interest component on refundable security deposit. If the rent, deposit or period changes, the calculation may change.

Calculate the new transaction not the old agreement.

 

7. What If the Agreement Has Already Expired?

This is where assumptions can become risky.

If the tenant continues to occupy the property after expiry and rent continues to be accepted, the parties should not casually assume that every term of the expired document automatically continues unchanged.

The legal consequences depend on the agreement, facts, conduct of the parties and applicable law.

Professional approach:

Review the situation.

Confirm the present commercial terms.

Document the arrangement appropriately.

Complete applicable legal formalities.

 

8. Renewal Is Also a Compliance Check

An agreement may have been perfectly acceptable when it was first signed.

But at renewal, ask whether anything has changed:

• Applicable legal requirements

• Government registration procedure

• Stamp-duty calculation

• Identity/document requirements

• Property ownership

• Authorisation/Power of Attorney

• Permitted use

• Commercial terms

Never treat an old agreement as a permanent template.

 

9. For Landlords: Your Renewal Checklist

Before renewing:

• Confirm the tenant's current details.

• Confirm the property's ownership/details.

• Review rent and escalation.

• Confirm the security deposit.

• Review lock-in and notice.

• Review maintenance and repair obligations.

• Check whether the permitted use has changed.

• Address outstanding dues, if any.

• Check applicable stamp duty.

• Check applicable registration requirements.

• Keep the executed agreement safely.

 

10. For Tenants: Don't Renew on Autopilot

Before signing:

• Read the agreement again from the beginning.

• Compare the new rent with the previous rent.

• Check the deposit.

• Read the lock-in clause.

• Read the notice clause.

• Check maintenance and other charges.

• Check whether any new restrictions have been introduced.

• Confirm the permitted use.

• Confirm the renewal period.

• Keep a copy of the executed agreement.

You signed the previous agreement once.

That doesn't mean you should sign the next one without reading it.

 

11. NRI Owners: Renewal Requires Extra Attention

 

For an NRI owner, renewal can be an important opportunity to verify the entire arrangement.

Ask:

• Is the same tenant still occupying the property?

• Has the rent changed?

• Has the property use changed?

• Is the local representative still authorised?

• Is the Power of Attorney still appropriate?

• Are the current execution requirements satisfied?

• Who will coordinate the documentation?

Your property may be in Pune. Your decision-making may be thousands of kilometres away.

30 DAYS BEFORE EXPIRY

Review the existing agreement.

20 DAYS BEFORE EXPIRY

Confirm revised commercial terms.

15 DAYS BEFORE EXPIRY

Check stamp-duty and registration requirements.

7 DAYS BEFORE EXPIRY

Finalise the documentation and execution arrangements.

Complete applicable formalities.
